Partner Terms

1. General

1.1. These partner terms (the Terms) govern the cooperation between Hours OÜ (Hours) and a business that has joined the partner program (the Partner) in referring and reselling the hours24 software (the Service).

1.2. The partner agreement is deemed concluded once the Partner has submitted the application at hours24.com, confirmed acceptance of the Terms, and Hours has approved the application in writing (including by email). Hours may reject an application without giving reasons.

1.3. Only a registered business may be a Partner. The partnership creates no employment, agency or joint-venture relationship; the Partner is not authorised to assume obligations on behalf of Hours.

2. Partner tiers

2.1. A Referrer passes client contacts to Hours. Hours handles the sale, onboarding and client support. A Referrer has no sales or support obligations.

2.2. A Reseller presents and sells the Service itself, assists the client with adoption and is the client's first contact for simpler usage questions. Hours provides technical support, development and the operation of the Service; the Reseller may escalate more complex matters to Hours.

2.3. The tier is agreed on joining. It may later be changed by mutual agreement; a new tier applies to new clients attributed from the change onwards.

3. Client attribution

3.1. A client is deemed brought by the Partner (an Attributed Client) if: (a) the client registers for the Service through the Partner's personal referral link or partner code, or (b) the Partner has notified Hours of the client in writing before the client registers and the client registers within 90 days of the notice.

3.2. If several partners claim the same client, the client is attributed to the partner whose referral or notice was earlier. A client who is already a user of the Service, or with whom Hours has an ongoing sales process before attribution under 3.1, is not an Attributed Client.

3.3. Attribution lasts for as long as the Attributed Client uses the Service or until the partner agreement ends (section 8).

4. Commission

4.1. Commission is calculated on the software monthly fees actually paid by the Attributed Client to Hours, excluding VAT (plan fees and the AI assistant add-on). Device rental and sales, migration and other one-off service fees, and separately agreed Enterprise terms are excluded unless the parties agree otherwise.

4.2. The Referrer commission is 20% of the base in 4.1 for 12 months from the Attributed Client's first paid invoice.

4.3. The Reseller commission is 30% in the first year, 20% in the second year and 10% from the third year (counted from the Attributed Client's first paid invoice), for as long as the Attributed Client uses the Service and the partner agreement is in force.

4.4. If the Attributed Client pays annually, the receipt is spread evenly over the months of the paid period when calculating commission. No commission accrues on amounts refunded to the client; commission already paid on refunded amounts is offset against future payouts.

5. Payouts

5.1. By the 10th of each month, Hours provides the Partner with a report of the previous month's receipts and commission. The Partner issues an invoice based on the report; Hours pays it within 14 days.

5.2. If a month's commission is below EUR 50, it rolls over to the next month and is paid out once the accrued amount exceeds EUR 50 or upon termination of the partner agreement.

6. Partner obligations

6.1. The Partner presents the Service honestly and in line with Hours' published materials, and makes no promises about features, prices or deadlines that Hours has not published or confirmed in writing.

6.2. In quotes, the Partner follows Hours' current public price list; special discounts may be offered only with Hours' prior written consent.

6.3. The Partner uses the hours24 name, logo and materials only within the partnership and per Hours' instructions, and does not register domains, trademarks or advertising accounts confusingly similar to hours24.

6.4. The Partner complies with data protection law (including the GDPR): it transfers to Hours only data it has a legal basis to transfer and uses Attributed Clients' data solely to perform the partnership.

7. Hours' obligations

7.1. Hours ensures the operation of the Service and the servicing of clients in accordance with the Service terms of service, provides the Partner with free training, a demo environment and sales materials, and provides second-line support to the Reseller.

7.2. For an active Reseller, Hours provides a free Pro plan for the Partner's own internal use for up to 10 employees.

8. Duration, changes and termination

8.1. The partner agreement is open-ended. Either party may terminate it at any time on at least 30 days' notice. In case of a material breach (including breach of sections 6.1-6.4), Hours may terminate without notice.

8.2. Hours may change the Terms (including commission rates) on at least 30 days' notice to the Partner. Changes do not reduce commission earned before the change takes effect.

8.3. On termination, Hours pays out commission earned up to the termination (including any balance below EUR 50); further commission accrual ends with the agreement.

9. Final provisions

9.1. The agreement is governed by Estonian law. Disputes are resolved by negotiation; failing agreement, by Pärnu County Court.
